Trilegal advises Mahindra Finance on landmark ₹2,996 crore rights issue under new SEBI regime

Posted on June 12, 2025

Trilegal advised Mahindra & Mahindra Financial Services, one of India’s leading non-banking financial companies (NBFCs), on its ₹2,996 crore rights issue.

This transaction is notable for being among the first rights issues in India conducted under the SEBI (ICDR) (Amendment) Regulations, 2025, following SEBI’s overhaul of the capital-raising process to facilitate faster and more efficient rights offerings. It also represents one of the largest rights issues by an NBFC in India in recent years.

The proceeds from the offering will be used to augment the company’s long-term capital requirements and for general corporate purposes.

The Trilegal Capital Markets Team advising on the matter was led by Partners: Bhakta Patnaik and Albin Thomas; and supported by Senior Associate: Sowmya Khandelwal; and Associates: Janhavi Shah and Snehal Kaushal.
